Qualified Reseller Sales Policy

As part of its ongoing efforts to maintain its reputation for offering high-quality products and exceptional customer service, L.S. Starrett Company (“Starrett”) carefully selects, monitors and supports its network of resale partners (each, a “Qualified Reseller”).  Starrett requires that its Qualified Resellers invest significant time and resources into educating the public about Starrett products, training knowledgeable staff, and providing excellent product support services. In order to protect the reputation of Starrett’s products, as well as the significant investments made by its Qualified Resellers with respect to their resale of Starrett’s products, Starrett has established this Qualified Reseller Sales Policy.

 
In order to qualify, or continue as, a Qualified Reseller, a Qualified Reseller shall comply with the following restrictions or obligations:

  • Qualified Reseller must operate at least one “brick and mortar” retail location at which it offers Starrett products for sale;
  • at each of Qualified Reseller’s retail locations, it must offer for sale all of the Starrett products that the Qualified Reseller offers for sale online, if any;
  • Qualified Reseller may market or sell Starrett products solely on the Qualified Reseller’s own website(s), but may not, without Starrett’s written consent, which consent may be provided or declined in Starrett’s sole discretion, market or sell any Starrett products via any third-party online marketplace or website (each, a “Third Party Platform”; e.g. Amazon, eBay, Walmart.com, HomeDepot.com, etc.);
  • If Starrett provides written consent to a Qualified Reseller to market or sell Starrett products via one or more Third Party Platforms:
    • the Qualified Reseller shall, subject to the applicable Third Party Platform’s guidelines or requirements, clearly and conspicuously display its name, address and phone number on the primary web page(s) on which each Starrett product is being offered on the Third Party Platform;
    • Starrett may withdraw its consent in its sole discretion at any time by written notice to the Qualified Reseller, and the Qualified Reseller shall terminate the marketing and sale of Starrett products on the Third Party Platform(s) on or before the date designated by Starrett in its termination notice (which shall be no less than thirty days from the notice date);
    • if such consent authorizes a Qualified Reseller to market or sell Starrett products on the Amazon platforms, unless such written consent explicitly states otherwise, the Qualified Reseller may only market and sell Starrett products via Amazon’s Merchant Fulfillment Network (MFN), and may not market or sell Starrett products (i) via the Fulfilled by Amazon (FBA) platform, or (ii) via any other Amazon platform, including but not limited to the Seller Fulfillment Network, whereby Amazon’s “Prime” badging would be displayed in connection with the Starrett product being offered for sale;
  • Qualified Reseller may not, without Starrett’s written consent, sell Starrett products to any affiliate companies, wholesalers, brick and mortar retailers, online retailers, or any other person or entity that Qualified Reseller knows, or has reason to believe, is reselling Starrett products;
  • Qualified Resellers shall notify Starrett in writing if it becomes aware of any third party (excluding another Qualified Reseller) selling Starrett products either online or at a brick and mortar location;
  • Qualified Reseller shall be free to establish the prices at which it offers Starrett products for sale; provided that the Qualified Reseller’s pricing complies at all times with any minimum advertised pricing requirements or policies that Starrett may provide to Qualified Reseller from time to time;
  • in connection with its sale of Starrett products, Qualified Reseller may only display or otherwise use authentic and unaltered Starrett images, trademarks, taglines, or other branding in such form provided by, or otherwise approved in writing by Starrett; and
  • Qualified Reseller may not bundle and offer for sale any Starrett product with one or more other Starrett products or non-Starrett products without the written consent of Starrett.  

Starrett intends to monitor each Qualified Reseller’s compliance with the above restrictions and obligations.  Qualified Reseller’s breach of this Qualified Reseller Sales Policy may result in Starrett’s suspension or termination of the Qualified Reseller’s customer account with Starrett.

Starrett reserves the right to revise, amend, or change this Qualified Reseller Sales Policy at its sole discretion. The revisions are effective once provided to the Authorized Reseller. To remain a Qualified Reseller, your business must adhere to this Qualified Reseller Sales Policy, as may be amended, at all times.
